Approved Capital: Investor Criteria

In order to be eligible to invest in our Participation Fund, an investor must satisfy the following criteria:

(A) Either individually or together with his/her or its investment advisors, the investor must have knowledge and experience in financial and business matters and particular knowledge in investments of the type that Approved Capital will offer such that the investor is capable of evaluating the merits and risks of each investment opportunity; (B) The investor's financial condition must be such that he/she, or it has no need for liquidity with respect to his/her or its investment; (C) The investor must be able to bear the economic risk of his/her or its investment in any of our participations, and the risk of losing part or all of his/her or its investment.

Each investor must represent that he/she or it meets these criteria, and Approved Capital will consider and be entitled to rely upon such representation in deciding whether or not to accept the investor's participation. (Participation Agreements and/or Commitment's will be provided at the time of each investment offering).

These investment criteria represent the minimum standards for prospective investors in our Partnerships, and satisfaction of such standards by a prospective investor does not necessarily mean that an investment in one of our Partnerships is a suitable investment for such person or entity.

Approved Capital Corp., may accept or reject any investment, in whole or in part, in their absolute discretion.
